At the time of Mr. DiebelŐs resignation, the Company and Mr. Diebel entered into a Transition Agreement pursuant to which, among other matters, Mr. Diebel agreed to act as a consultant to the Company until May 31, 2004. In exchange for such consulting services, the Company agreed to pay Mr. Diebel $20,833 per month from June 1, 2003 until May 31, 2004. In addition, the Company agreed to pay for Mr. DiebelŐs and his spouseŐs medical insurance under the CompanyŐs medical plan through July 31, 2003 and to pay for Mr. DiebelŐs and his spouseŐs COBRA benefits for a five-year period from July 31, 2003.

John C. Diebel founded Meade Instruments Corporation in 1972 and, until May 31, 2003, served as Chairman and Chief Executive Officer of Meade Instruments Corporation for the majority of the time since December 1975. As of June 2003, Mr. Diebel is serving Meade as a director and as a consultant. He has served as a director of Meade from 1975 thru 1986, and again since 1991.

Joseph A. Gordon has served as Senior Vice President -- North American Sales of Meade Instruments Corporation since June 1995. From December 1984 to June 1995, he served as the Vice President of North American Sales. From January 1981 to December 1984, Mr. Gordon was the Vice President of Sales at Celestron.
