Charles C. Stephenson, Jr., an executive officer and director of the Company, is a director of Growth Capital Partners, L.P. and GCP Securities, Inc. John T. McNabb, II, a director and member of the Compensation Committee of the Board of Directors, is an executive officer of these entities.

4/4/2003 Proxy Information

Since January 1, 2002, S. Craig George, William C. Barnes, William L. Abernathy, William E. Dozier, Michael F. Meimerstorf, Robert E. Phaneuf and Martin L. Thalken have been indebted to the Company in amounts in excess of $60,000 under various notes. (See proxy for specific amounts). In accordance with the recently enacted Sarbanes-Oxley Act of 2002, the Company in the future will no longer make loans to executive officers of the Company or otherwise materially modify or renew any existing loans to executive officers of the Company.

Mr. Stephenson is a director of Growth Capital Partners, L.P. and GCP Securities, Inc. Mr. McNabb is an executive officer of these entities.
