In August 2003, the Corporation purchased a number of shares of non-voting preferred stock of Great Wall Semiconductor Corporation (“GWS”) representing an approximately 5% equity interest in GWS for $1,000,000. In March and August 2004, the Corporation purchased additional shares of non-voting preferred stock of GWS representing an additional approximately 13% equity interest in GWS for $2,000,000. The Corporation’s total investment in GWS was $3,000,000 as of March 31, 2006. Mr. Anderson, a director of the Corporation, is the founder and president and a shareholder of GWS. A majority of the equity interests in GWS are owned and controlled by an unrelated company. In addition to the investment, the Corporation and GWS have entered into a cross-license agreement and the Corporation purchases certain components from GWS. These purchases were approximately $360,000 in 2005.

Mr. Prager held the positions of Senior Vice President, Technology of Vicor Corporation from 1991 to 2005 and Vice President, Systems Engineering from 1987 to 1991.

In addition to the investment, the Corporation and GWS have entered into a cross-license agreement and the Corporation purchases certain components from GWS. These purchases were not significant in 2003.

Estia J. Eichten was President of VLT Corporation, a wholly-owned subsidiary of Vicor Corporation, from 1987 to July 2000.

Mr. Estia J. Eichten was President of VLT Corporation, a wholly-owned subsidiary of Vicor Corporation, from 1987 to July 2000.

Mr. Vinciarelli, the President and Chief Executive Officer of the Corporation, had previously borrowed funds from the Corporation pursuant to a series of unsecured term notes. The notes had terms of eight years and matured at various dates through March 2009. Each note bore interest at the greater of the prime borrowing rate less 1%, or the applicable federal rate under the Internal Revenue Code of 1986, as amended. The largest aggregate amount of all indebtedness outstanding at any time during 2002 was $2,312,581, including accrued interest. The notes were repaid in full in December 2002.
