In the normal course of business the Company and its subsidiaries had transactions with other corporations where certain Directors or nominees for Director are or were executive officers. None of the aforementioned matters was material in amount as to the Company, its subsidiaries or the corporations and the Company and its subsidiaries had no transactions in which any Director, nominee for Director or any member of the immediate family of any Director or nominee for Director had a material direct or indirect interest reportable under applicable SEC rules. Mr. Rodgers is the President and CEO of TV One, a cable television network. During the fiscal year ended June 30, 2005, the Company paid to TV One approximately $795,000 for commercial advertising time. During the fiscal year ending June 30, 2006, the Company anticipates making additional payments of approximately $875,000 in exchange for commercial advertising time. The Company has not decided the exact amount of future purchases.

The Company utilized the services of the law firm of Thompson Hine, L.L.P. in which Mr. Storey was a partner.
