Mr. Wery is a Director and employee of the consulting firm, PRTM which entered into a consulting agreement (“the Agreement”) with Plantronics in June 2000 for the provision of certain management consulting services. Mr. Wery is not, and has not since fiscal year 2001, been involved in the services provided under the Agreement. In fiscal 2004, PRTM billed Plantronics $15,910 for further work under the Technology and Product Development Improvement Project. In fiscal 2005, PRTM billed Plantronics $65,160.27 for further work under the Technology and Product Development Improvement Project. In fiscal 2006, no work was performed by PRTM for Plantronics and accordingly no amount was billed. Finally, the compensation paid to PRTM by Plantronics in each of fiscal years 2004 and 2005 was less than 1% of PRTM’s consolidated gross revenues for each such fiscal year. The Board of Directors has determined, after careful consideration of these circumstances, that Mr. Wery is independent.

Mr. Wery is a Director and employee of the consulting firm, Pittiglio Rabin Todd & McGrath (PRTM) which entered into a consulting agreement (“the Agreement”) with Plantronics in June 2000 for the provision of certain management consulting services. Mr. Wery is not, and has not since fiscal year 2001, been involved in the services provided under the Agreement. In fiscal 2003, PRTM billed Plantronics $1,115,649 for further work under the Technology and Product Development Improvement Project. In fiscal 2004, PRTM billed Plantronics $15,910 for further work under the Technology and Product Development Improvement Project. In fiscal 2005, PRTM billed Plantronics $65,160.27 for further work under the Technology and Product Development Improvement Project. Others within PRTM provided the service to Plantronics to assist with the improvement of the Company’s new product development process. Finally, the compensation paid to PRTM by Plantronics in each of fiscal years 2003, 2004 and 2005 was less than 1% of PRTM’s consolidated gross revenues for each such fiscal year.

In fiscal 2002, PRTM billed Plantronics $447,295 for a Technology and Product Development Improvement Project. In fiscal 2003, PRTM billed Plantronics $1,115,649 for further work under the Technology and Product Development Improvement Project. PRTM billed Plantronics $15,910 in fiscal 2004 for completion and implementation of the Technology and Product Development Improvement Project. Others within PRTM provided the service to Plantronics to assist with the improvement of the Company’s new product development process. Mr. Wery is not directly involved in the services provided under the Agreement. In fiscal 2001, PRTM billed Plantronics $299,345 for a Supply Chain and Operations Improvement Project. In fiscal 2002, PRTM billed Plantronics $447,295 for the Technology and Product Development Process Improvement Project. In fiscal 2003, PRTM billed Plantronics $1,115,649 for completion of the Technology and Product Development Process Improvement Project. PRTM expects it will bill Plantronics approximately $50,000 for the final implementation of the Technology and Product Development Process Improvement Project in fiscal 2004.

The Board of Directors of Plantronics appointed director Taylor to the Compensation Committee in September 1993, and directors Wegmann and Hart in July 2002. Mr. Taylor was an officer and director of Zehntel, a former subsidiary of Plantronics' former operating subsidiary, Plantronics, Inc. He served as Chairman of the Board of Zehntel from 1984 to 1987 and as Chief Executive Officer of Zehntel from 1984 to 1985. Mr. Taylor has held no employment position with Plantronics or any subsidiary of Plantronics since 1985. Mr. Wegmann was the President and sole director of PI Parent Corporation, a privately held holding company, from that company's inception in August 1988 until March 1989. Mr. Wegmann has held no employment position with Plantronics or any subsidiary of Plantronics since 1989.
