During fiscal 2005, the Company compensated Louis M. Brown, Jr., Vice Chairman of the Board, $425,000 for consulting services provided to the Company. For fiscal 2005, Mr. Brown earned a base consulting fee of $250,000 and a bonus of $175,000. The bonus was accrued in fiscal year 2005 and paid in September 2005. Effective June 30, 1995, as subsequently amended, the Company and Mr. Brown entered into a Consulting Agreement expiring on June 30, 2007, pursuant to which Mr. Brown is to provide on the average 20 hours per week of consulting services to the Company in exchange for a base consulting fee plus a target bonus.

For fiscal 2004, Mr. Brown earned a base consulting fee of $250,000 and a bonus of $177,000. The bonus was accrued in fiscal year 2004 and paid in September 2004. Effective June 30, 1995, and subsequently amended, the Company and Mr. Brown entered into a Consulting Agreement expiring on June 30, 2007, pursuant to which Mr. Brown is to provide on the average 20 hours per week of consulting services to the Company in exchange for a base consulting fee plus a target bonus.

During fiscal 2003 and 2002, the Company compensated Louis M. Brown, Jr., Vice Chairman of the Board, $409,500 and $308,000, respectively, for consulting services provided to the Company. For fiscal 2003, Mr. Brown earned a base consulting fee of $250,000 and a bonus of $159,500. The bonus was accrued in fiscal year 2003 and paid in September 2003. Effective June 30, 1995, and amended February 1, 1999, April 26, 2001, and September 4, 2003, the Company and Mr. Brown entered into a Consulting Agreement expiring on June 30, 2007, pursuant to which Mr. Brown is to provide on the average 20 hours per week of consulting services to the Company in exchange for a base consulting fee plus a target bonus.

During fiscal 2003 and 2002, the Company paid J. Alan Hayman, $0 and $1,596,279, respectively, for earn-out payment obligations as part of the 1999 acquisition by MICROS of Stanley Hayman and Company, Inc. and Micros of South Florida, Inc., each entity in which he was a 46.5% shareholder. There are no additional earn-out payments required. In addition, during fiscal 2003 and 2002, the Company paid a real estate partnership in which J. Alan Hayman holds a 50% interest, $145,535 and $426,511, respectively, for the rental of the Laurel, Maryland facilities. The rental rates were fair market value rates, as determined by two independent valuations. The Laurel lease expired on December 31, 2002, and was not renewed.
