Prior to the purchase of Civic Communications Corporation (Civic) by The Liberty Corporation in 2000, Mr. Melton was Chairman and Chief Executive Officer of Civic, a television broadcasting company located in Jackson, Mississippi. He had held this position since 1984.

Mr. Romrell was Executive Vice President of Tele-Communications, Inc. from January 1994 to March 1999. Tele-Communications, Inc. is the former parent company of Liberty Media Corporation.

Mr. Malone served as Chief Executive Officer of Tele-Communications, Inc., the domestic cable subsidiary of TCI. Tele-Communications, Inc. is the former parent company of Liberty Media Corporation.

From 1982 until 1996, Mr. Fisher held various executive officer positions with Tele-Communications, Inc. and its subsidiaries. Tele-Communications, Inc. is the former parent company of Liberty Media Corporation.

Effective November 28, 2003, we acquired all the outstanding stock of TP Investment, Inc. (TPI), a corporation wholly owned by TP-JCM, LLC, a limited liability company in which the sole member is Mr. Malone. In exchange for the stock of TPI, TP-JCM received 5,281,739 shares of our Series B common stock, valued for purposes of the acquisition at $11.50 per share. As prescribed by the Agreement and Plan of Merger pursuant to which the acquisition was effected, that per share value equals 110% of the average of the closing sale prices of our Series A common stock for the ten trading days ended November 28, 2003. TPI owns 10,602 shares of Series B Preferred Stock of Liberty TP Management, Inc., one of our subsidiaries. Those shares of Series B Preferred Stock represent 12% of the voting power of Liberty TP Management. TPI also owns a 5% membership interest (representing a 50% voting interest) in Liberty TP LLC, a limited liability company which owns approximately 20.6% of the common equity and 27.2% of the voting power of Liberty TP Management. As a result of the acquisition, we beneficially own all the equity and voting interests in Liberty TP Management. Liberty TP Management owns our investment in True Position and certain equity interests (including rights to acquire equity interests) in Sprint PCS Group, IDT Corp. and priceline.com, Inc.

In connection with the acquisition of TPI, we entered into a registration rights agreement with TP-JCM. That agreement provides for the registration by us under applicable federal and state securities laws, at the holder's request, of the sale of shares of our Series A common stock issuable upon conversion of shares of the Series B common stock that were issued to TP-JCM.

Mr. Romrell was Executive Vice President of Tele-Communications, Inc. from January 1994 to March 1999. Tele-Communications, Inc. is the former parent company of Liberty Media Corporation.

Liberty TP Management Transaction. During the third quarter of 2002, we transferred an indirect 1% beneficial ownership interest in 55.5 million shares of Sprint PCS stock and related collar agreements to Liberty TP Management, Inc. in exchange for an $8.9 million note payable, which accrues interest at 5%. In January 2003, Liberty TP Management issued 9,918.4503 shares of its Series A nonvoting preferred stock to us in exchange for an outstanding intercompany account balance of $99,184,503. We also acquired an additional 823.5897 shares of Series A nonvoting preferred stock at various times in the remainder of the first quarter and the beginning of the second quarter of 2003 in exchange for cash in the aggregate amount of $8,235,897. Each share of Series A nonvoting preferred stock has an aggregate liquidation value of $10,000, plus accrued but unpaid dividends, accrues dividends at the rate of 11% per annum, payable quarterly, and provides for mandatory redemption on April 30, 2021. As described under "Security Ownership of Certain Beneficial Owners and Management - Security Ownership of Management", our Chairman, Dr. Malone, holds all of the outstanding common stock of TP Investment, Inc., which in turn owns all of the Class B preferred stock of Liberty TP Management and a 5% membership interest, representing a 50% voting interest, in Liberty TP LLC. Liberty TP LLC holds 20.6% of the common equity and 27.2% of the voting power of Liberty TP Management. We own the remaining equity interests in Liberty TP Management and the remaining membership interests in Liberty TP LLC.
