During the fiscal year ended September 30, 2005, no Directors, Executive Officers or immediate family members of such individuals were involved in loans from Provident New York Bancorp or Provident Bank involving more than $60,000 that had not been made in the ordinary course of business and on substantially the same terms and conditions, including interest rate and collateral, as those of comparable transactions prevailing at the time with other persons, and do not involve more than the normal risk of collectibility or present other unfavorable features.

During the year ended September 30, 2005, $593,800 of legal fees were paid to the law firm of Freeman, Loftus & Manley for services rendered on behalf of Provident New York Bancorp and Provident Bank, the majority of which are fees paid by borrowers in the ordinary course of business for loans originated by Provident Bank. Director William R. Sichol is the brother-in-law of a partner of that law firm.
