2003 Committee Charter : MEESubject: PUBLIC AND ENVIRONMENTAL POLICY COMMITTEE
PURPOSE AND ACTIVITIES
The principal duties of the Public and Environmental Policy Committee (the "Committee") shall be (i) to review and make recommendations regarding the policies, programs, position and strategies of Massey Energy Company (the "Company") in relation to public and environmental issues deemed significant by the Committee or which may be referred to the Committee by the Board or by management; (ii) to review and make recommendations regarding political, social and environmental trends and issues as they may affect the operations of the Company and its subsidiaries; (iii) to review and make recommendations in respect of the Company's general policy regarding support of business, charitable, educational and political organizations; and (iv) to review and make recommendations in respect of the Company's environmental policies and practices.
The Committee, appointed annually by the Board of Directors at its meeting in conjunction with the annual shareholders meeting, shall consist of at least three Directors and a nonvoting Secretary.
Meetings are scheduled quarterly, preceding meetings of the Board, or otherwise as required. A quorum for the purpose of conducting business at any meeting shall consist of a majority of the Directors who are members of the Committee.
